THE SITE AND THE MATERIAL ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER DLZ NOR ANY PERSON ASSOCIATED WITH DLZ MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE OR THE MATERIAL.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DLZ OR ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, OR REPRESENTATIVES (COLLECTIVELY, THE “DLZ PARTIES”) BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH THE SITE, THE MATERIAL, OR ANY THIRD-PARTY LINKS OR INTEGRATED SERVICES. THIS INCLUDES ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, OR PERSONAL INJURY, WHETHER SUCH ALLEGED DAMAGE(S) MAY BE CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
You agree to indemnify, defend, and hold DLZ and the DLZ Parties harmless from and against any and all claims, causes of action, allegations (threatened or pending), liabilities, damages, losses, costs, and other expenses (including attorneys’ fees and costs) arising out of, or in connection with, any of the following: (i) your access to or other use of the Site; (ii) your breach or other violation of these Terms; (iii) your violation of the rights of any third party, including any intellectual property, publicity, confidentiality, property, or privacy right; or (iv) any misrepresentation made by you related to the Site. DLZ reserves the right to control the defense and settlement of any third-party claim subject to your indemnification obligations under these Terms, and you will assist us in exercising such rights. In any event, you agree that you will not settle any claim without the prior written consent of DLZ.
PLEASE READ THIS SECTION CAREFULLY BECAUSE IT OUTLINES CERTAIN RIGHTS THAT YOU ARE WAIVING OR LIMITING BY ACCESSING OR USING THE SITE. YOUR ACCESS TO OR USE OF THE SITE CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS, INCLUDING THE PROVISIONS RELATING TO DISPUTE RESOLUTION AND GOVERNING LAW AND JURISDICTION.
THIS SECTION 7 LIMITS CERTAIN RIGHTS YOU MIGHT OTHERWISE HAVE, SO PLEASE READ CAREFULLY.
This Section 7 is a “written agreement to arbitrate” (“Agreement”) pursuant to the U.S. Federal Arbitration Act. You and DLZ (each, a “Party”) agree that that this Section 7 satisfies the “writing” requirement of the U.S. Federal Arbitration Act. Notwithstanding anything to the contrary in these Terms of Use, this Section 7 can only be amended by mutual agreement.
Mandatory Pre-Arbitration Informal Dispute Resolution
DLZ seeks to resolve disputes amicably and efficiently, and many issues can be resolved by emailing [EMAIL] to tell us about your concern. In the unlikely event that a disagreement arises between you and DLZ regarding, relating to, or connected in any way with the Site (a “Dispute”), you agree that, before initiating any legal action, you will first provide us written notice (a “Notice of Dispute”) via email at [EMAIL] so that we may work with you in good faith to find a mutually agreeable solution. Your Notice of Dispute must describe the nature and basis of the Dispute, and set forth the specific relief you are seeking.
During the sixty (60) days from the date we receive your Notice of Dispute, both parties agree to engage in good faith efforts to resolve the Dispute. During this 60-day period, both parties agree to toll any statutes of limitations that may apply, along with any filing deadlines.
To the fullest extent permitted by applicable law, you must assert any Dispute (by delivery of the Notice of Dispute) within one (1) year after the Dispute arises, or it will be forever barred.
CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION WAIVER
UNLESS OTHERWISE PROHIBITED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL AND YOU AGREE THAT ANY AND ALL DISPUTES (WHETHER BASED IN CONTRACT, STATUTE, TORT OR ANY OTHER THEORY) WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT SOLELY IN A PARTY’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, REPRESENTATIVE ACTION OR PROCEEDING.
BINDING ARBITRATION, GOVERNING LAW, AND JURISDICTION
These Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of Ohio, including its conflicts of law rules, and the United States of America.
Any Dispute that was not resolved through the mandatory pre-arbitration informal dispute resolution process will exclusively be settled through binding and confidential arbitration. Arbitration will be subject to the Federal Arbitration Act and not any state arbitration law. The arbitration will be conducted before one neutral commercial arbitrator from the American Arbitration Association (“AAA”). As modified by this Agreement, and unless otherwise agreed upon by the parties in writing, the arbitration will be governed by the AAA’s Commercial Arbitration Rules and, if the arbitrator deems them applicable, the Supplementary Procedures for Consumer Related Disputes (collectively “Rules and Procedures”). For more information on AAA, its Rules and Procedures, and how to file an arbitration claim, you may call AAA at 800-778-7879 or visit the AAA website at http://www.adr.org.
There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of this Agreement as a court would.
The Parties agree as follows: (a) ANY CLAIMS BROUGHT BY A PARTY MUST BE BROUGHT IN SUCH PARTY’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING; (b) THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING, AND MAY NOT AWARD CLASS-WIDE RELIEF; (c) the arbitration will be confidential, and neither you nor we may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award; (d) the arbitrator may award any individual relief or individual remedies that are permitted by applicable law; and (e) each side pays its own attorneys’ fees and expenses unless there is a statutory provision that requires the prevailing party to be paid its fees and litigation expenses, and then in such instance, the fees and costs awarded will be determined by the applicable law.
Notwithstanding the foregoing (i) either Party may bring an individual action in small claims court to the extent eligible, and (ii) either Party may seek emergency equitable relief before the state or federal courts located in the State of Ohio in order to maintain the status quo pending arbitration, and hereby agree to submit to the exclusive personal jurisdiction of the courts located within Columbus, Ohio for such purposes. A request for interim measures will not be deemed a waiver of the right to arbitrate.
Entire Agreement; Interpretation. These Terms constitute the entire agreement between DLZ and any user of the Site with respect to the subject matter herein, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. The summaries of provisions and section headings are provided for convenience only and shall not limit the full Terms.
Waiver; Severability; Assignment. Any failure of DLZ to assert a right or to enforce any provision under these Terms shall not constitute a waiver of such right or provision, nor shall it be construed to be a present or future waiver of these Terms. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be severed from the remaining terms, conditions, and provisions, or limited to the minimum extent such that the remaining provisions of these Terms will continue to be valid to the fullest extent permitted by law. DLZ may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without any notice. These Terms may not be assigned by you, and you may not delegate your duties under them, without the prior written consent of DLZ.
